1. Introduction and User Acceptance
1.1. These Terms of Use govern your access to and use of the websites located at https://www.bvifsc.vg and https://publicsearch.bvifsc.vg/publicsearch/entity-search (the “Website”) operated by the Financial Services Commission (the “Commission”). All website features, content, data, information, documents, services and software provided on or through the Website (the “Content”) are subject to the Terms.
1.2. The Commission’s Website and Content are being made available to you conditional upon your acceptance, without modification, of these terms, conditions, and notices contained herein (the “Terms”).
1.3. By accessing or using this Website and Content, you confirm that you accept the Terms and agree to adhere to and be bound by the Terms. If you do not agree to the Terms, you must refrain from using the Commission’s Website.
2. Limited Licence
2.1. Where applicable, users of the Website and Content are granted a nonexclusive, non-transferable, revocable, limited licence to access and use the Website and Content in accordance with the Terms and to use requested documents and search results for their own personal use or to facilitate a transaction for compliance purposes. This licence may be terminated by the Commission at any time for any reason.
2.2. Authorised Persons who obtain documents or data for the purpose of providing them to third-party clients (for example, Registered Agents and Legal Practitioners) are deemed “Professional Intermediaries”. Professional Intermediaries’ use of the Website is governed by clause 2.1 above; however, they are permitted to charge a fee for the administrative act of obtaining and delivering the data, information or documents and may create derivative works.
3. Permitted Use
3.1. The Website and Content are provided for your personal and lawful use only. You agree not to use the Website or the Content in any way that may negatively impact the Commission’s rights or the rights of any other person accessing and using the Website.
3.2. You must not:
a. decompile, reverse engineer, disassemble, rent, lease, loan, sell, sublicense, or create derivative works from the Website or the Content;
b. use any network monitoring or discovery software to extract information about usage, individual identities or persons accessing and using the Website or Content, or to determine the Website architecture or to access or interfere with the Website’s infrastructure or systems;
c. use any robot, spider, other automatic software or device, or manual process to monitor or copy the Commission’s Website or the Content or use or attempt to data harvest or to use automated systems such as scraping tools without the Commission’s prior written consent;
d. use the Website to transmit any false, misleading, fraudulent or illegal communications or use or attempt to use the Website or Content for any fraudulent or misleading activities;
e. copy, modify, reproduce, republish, distribute, display, or transmit for commercial, non-profit or public purposes that would create a third-party site, “shadow registry” or competing independent database of all or any portion of the Website or Content, except to the extent permitted in the Terms;
f. use the Website or its Content in a manner not authorised by the Terms;
g. use the Website or Content in a manner that breaches any applicable laws or regulations;
h. introduce viruses, trojans, malware, or other harmful technologies to the Website.
4. Registration and Account Security
4.1. Where the creation of a user account is required to access certain features of the Website, you agree to
a. provide truthful, accurate, and complete information at the time of registration and inform the Commission of any changes to that information;
b. notify the Commission immediately if you suspect unauthorised activity on your account;
c. maintain the confidentiality and security of your account credentials, including passwords, and not permit anyone other than you to use your account credentials; and
d. ensure that your single-name access is not shared with or made available to multiple users.
4.2. The Commission shall not be liable for any unauthorised use of your account caused by your failure to comply with the above obligations.
5. Provision of Services or Products
5.1. All services or products provided by the Commission will adhere to the description on the Website at the time of purchase. The Commission shall ensure that the services and products are delivered with reasonable care and skill.
5.2. Digital services and products will typically be delivered immediately upon payment of the fee, unless otherwise specified. You are responsible for ensuring that your devices and platforms are compatible with the services and products delivered, as well as with the means by which they are delivered.
5.3. The Commission reserves the right to modify or discontinue any services or products at its sole discretion.
6. Intellectual Property Rights
6.1. The intellectual property rights in all Content, including but not limited to text, data, information, documents, graphics, logos, software, and the structural arrangement of any databases, are the property of the Commission or its licensors and are protected under intellectual property laws, where applicable.
6.2. Except as expressly provided in these Terms, nothing contained herein shall be construed as conferring on you or any third party any license or right to intellectual property rights in the Content or the Site. The Commission’s logo is a protected trademark.
6.3. You represent and warrant that any ideas, expressions of ideas, text, graphics, messages, links, data, information, documents and other materials submitted to the Website (the “Postings”)
a. are your original work product or that the owner of such work product has expressly granted the Commission a perpetual, worldwide, royalty-free, irrevocable, non-exclusive license for said work product with all of the rights granted by you below in section 6.4 of the Terms; and
b. does not and will not violate the rights of any third-party, including, but not limited to, copyright, right of privacy or any other intellectual property right or any proprietary right.
6.4. By submitting Postings to the Website, you grant the Commission an irrevocable, non-exclusive, royalty-free, perpetual, worldwide licence to use, authorise use of and have used on its behalf such Postings. This license includes the right to make, use, sell, reproduce, publish, modify, adapt, prepare derivative works from, combine with other works, translate, distribute, display, perform and sublicense Postings in any form, medium, or technology now known or hereafter developed.
6.5. By submitting Postings to this Website, you acknowledge, consent and agree that the Commission may create its own ideas that may be, or may contain submissions that may be, similar or identical to Postings you submit. You agree that you shall have no recourse against the Commission for any alleged or actual infringement or misappropriation of any proprietary or other right in the Postings you submit.
7. Disclaimers and Limitation of Liability
7.1. The Website and Content are provided “as is” and “as available.” The Commission makes no warranties or representations about the suitability, reliability, availability, timeliness or accuracy of information, software, products, services and related graphics on the Website for any purpose, and disclaims all warranties and conditions, including implied warranties of satisfactory quality, fitness for a particular purpose, title and non‑infringement.
7.2. The Content is not intended to and does not constitute legal advice.
7.3. The Commission does not warrant or represent that the Website or the Content will be error-free, accurate, up-to-date, complete, reliable, free of viruses or other harmful components, or that defects will be corrected or that it will always be accessible. Your use of the Website and Content is at your own risk. The Commission may make improvements and changes to the Website or the Content at any time.
7.4. The Commission will not be liable for any loss, injury, claim, liability or damage of any kind, whether in contract, tort (including negligence), breach of statutory duty or otherwise, even if foreseeable, arising out of or in any way connected with:
a. your use of the Website and Content, including reliance on the Content;
b. any errors in or omissions from the Website and Content;
c. any viruses or other harmful components;
d. or any linked sites, content accessed (directly or indirectly) through links in the Website or third-party communications;
e. inability to use the Website, including the unavailability of the Website or Content, or any portion thereof; and
f. your use of any equipment or software in connection with the Website and Content.
7.5. In no event shall the Commission be liable for any direct, indirect, punitive, incidental, special, consequential or any other damages of any kind, including without limitation legal fees, loss of use, data or profits, arising out of, due to or in any way connected with use of or performance of the website, delay or inability to use the website or related services, provision of or failure to provide services, or information, software, products, and related graphics obtained through the website, whether based on contract, tort, negligence, strict liability or otherwise, even if advised of the possibility of damages. If you are dissatisfied with any part of the website or these Terms, your sole remedy is to refrain from using the website.
7.6. You agree to indemnify, defend and hold the Commission, our employees, officers, agents, licensors, suppliers and any third party information providers to the Website harmless from and against all claims, losses, expenses, damages, costs and liability whatsoever incurred or suffered, including reasonable attorneys’ fees, resulting from any violation of the Terms by you or arising from or related to any Postings uploaded or submitted by you or the use, interpretation, or delayed delivery of any services or products.
7.7. The above exclusions of liability do not exclude or limit the Commission’s liability for death or personal injury resulting from its negligence, or any other liability that cannot be excluded under the laws of the British Virgin Islands.
8. Fees and Payments
8.1. All fees and transactions are quoted and payable in USD. You are responsible for any and all conversion costs, foreign transaction fees or currency fluctuations if you elect to make a payment using a non-USD-denominated method of payment.
8.2. At the time of purchase, you will be provided with a summary of your order showing the total amount due and payable, as itemised in the “cart”.
8.3. Payment may be made using, among others, credit or debit cards. Online payments must be completed in full at the time of order submission for the Commission to process an order.
8.4. By completing the purchase, you agree to pay the total fee(s) associated with the selected service(s).
8.5. Unless otherwise stated, all administrative, filing and search fees are non-refundable, except in the event of a demonstrable system or processing error attributable to the Commission. The Commission’s failure to locate a specific record does not entitle you to a refund of the search fee.
8.6. Payments are processed by a third-party service provider. The Commission does not store sensitive financial information and is not liable for any errors, breaches, or failures occurring on the third-party processor’s platform. You will also be bound by the third-party processor’s terms and conditions.
8.7. A digital receipt will be emailed to you once the payment transaction is successfully completed. You are responsible for ensuring that a digital receipt is received following a transaction. If a receipt is not received after a suspected successful payment, you should immediately contact the Commission. The digital receipt (in digital or printed format) must be presented as proof of payment for the physical collection of documents.
8.8. If a payment is declined or fails to process, the associated order will not be completed, and no service will be rendered. You will be notified at the time of the transaction and will be required to submit a new order with valid payment details. The Commission is not responsible for any loss, delay, or inconvenience arising from a failed or declined payment, including where such failure results from insufficient funds, card restrictions, or issues with your financial institution.
8.9. If you wish to dispute a transaction, you are required to contact the Commission within ten (10) business days of the payment date before initiating a chargeback with your card provider or financial institution. The Commission will endeavour to resolve the matter directly and in a timely manner. Where a chargeback is initiated without prior notice to the Commission, the Commission reserves the right to suspend your access to its online services pending resolution of the dispute.
8.10. The Commission reserves the right to change its fees at any time. However, any fee charged at the time a purchase is completed will remain unchanged.
9. Links to Third-Party Sites
9.1. The Website may provide links to third-party websites (“Linked Sites”). These Linked Sites are not under the control of the Commission, and the Commission assumes no liability or responsibility for the content, functionality, or data practices of such Linked Sites. Links are provided as a convenience only and do not imply endorsement, sponsorship, or any association between the Commission and the operators of the Linked Sites.
9.2. Users who access Linked Sites do so at their own risk.
10. Access Violations
10.1. The Commission reserves the right to
a. investigate complaints or reported violations of the Terms and to take any action we deem appropriate, including but not limited to, reporting any suspected unlawful activity to law enforcement officials, regulators, or other third parties and disclosing any information necessary or appropriate to such persons or entities relating to user profiles, email addresses, usage history, posted materials, IP addresses and traffic information;
b. terminate, restrict, or block your access to the Website at any time, without notice, if you breach the Terms or engage in conduct deemed harmful or unlawful by the Commission; and
c. seek all remedies available at law and in equity for violations of the Terms.
11. Governing Law
11.1. The Agreement and any non-contractual obligations arising out of or in connection with this Agreement shall be governed by and construed in accordance with the laws of the Virgin Islands (British).
11.2. You irrevocably consent and agree to the exclusive jurisdiction of the courts of the Virgin Islands (British) for any disputes or claims arising from or related to this Agreement (including non-contractual disputes or claims) or your use of the Website.
12. Entire Agreement and Severability
12.1. The Terms, the Privacy Policy and any notices contained on the Website constitute the entire agreement between the parties with respect to access and use of the Website and supersede all prior communications.
12.2. If any provision of these Terms, or any part of a provision of the Terms, is found to be illegal, invalid, void or unenforceable, by any Court of competent jurisdiction, the invalid provision(s) will be deemed severable from the remaining provisions and shall not affect their validity and enforceability. The remaining provision(s) or the remainder of the provision concerned shall continue in full force and effect.
13. Modification of these Terms of Use
13.1. The Commission reserves the right to amend these Terms at any time, in its sole discretion. The revised Terms are effective immediately upon posting the updated version to the Website. You are responsible for reviewing the Terms periodically to ensure your continued compliance. Your use of the Website following any changes to the Terms constitutes your consent to and acceptance of the revised Terms.
