Industry Circular 44 of 2025 - Temporary Access to VIRRGIN LITE For Beneficial Ownership Filings
TEMPORARY ACCESS TO VIRRGIN LITE FOR BENEFICIAL OWNERSHIP FILINGS
Road Town, Tortola - The BVI Financial Services Commission (the Commission) advises all Registered Agents (RAs) that, following recent engagement with industry practitioners and in support of timely compliance with the Beneficial Ownership (BO) Regime and requirements related to filing of Register of Members (ROM), Register of Limited Partners (ROLP) and Register of General Partners (ROGP), the Commission has approved the temporary expansion of access to the VIRRGIN Lite platform to facilitate BO and ROM-related filings from authorised overseas offices of RAs.
VIRRGIN Lite is a limited feature version of the VIRRGIN application which provides special external access to VIRRGIN outside of the BVI.
This temporary concession is intended to increase filing capacity during a period of heightened regulatory demand, while maintaining the integrity, security, and supervisory framework applicable to the VIRRGIN system.
‘Approved Period of Access’
Authorised external access to VIRRGIN Lite will be permitted from 1 December to 31 December 2025 only.
Scope of Approved Access
Access during this period will be subject to the following parameters:
1. Application of Access
Access will be available solely for the purpose of submitting BO, ROM, ROLP, and ROGP related filings through the VIRRGIN Lite platform.
Current VIRRGIN Lite users will have new transactions added and will only be required to submit the required information if additional users are in a location outside Hong Kong. No adjustment to subscription fees will be made.
During the application process, Hong Kong should be selected regardless of whether the location is situated in another jurisdiction. The exact location of IP addresses and users should be included in the email.
2. Eligible Users
Access may be granted to no more than ten (10) approved personnel of a RA or an affiliated Group entity located outside the Virgin Islands.
3. Static IP Address Requirement
Overseas access will be restricted to no more than three (3) approved static IP addresses, which have been vetted and authorised by the Commission.
4. Local Oversight and Accountability
All oversight, user management, training, and troubleshooting will remain the responsibility of the RA’s BVI office.
RAs must ensure that internal controls, supervision, and data-handling standards remain fully compliant throughout the period of access.
5. Fees
In light of the limited duration and regulatory purpose of this initiative, the Commission will waive the application fee associated with access to VIRRGIN Lite for approved external users during the Approved Period of Access.
Application Process
RAs intending to request VIRRGIN Lite access must do the following:
- Enter the VIRRGIN Lite Subscription Application.
- Select Hong Kong to allow external user access (even if the location is another jurisdiction).
- Create users (No more than 10 users).
- Send an email to [email protected] containing the following:
- Email subject should read VIRRGIN Lite Temporary Access
- Static IP addresses (no more than 3)
- Usernames (no more than 10)
- Users’ email addresses
- Users’ locations
- Written confirmation that the BVI RA will serve as the first point of contact for all training, operational questions, and troubleshooting.
- Note that any missing information may cause a delay in the processing of applications.
- Note that users will be granted access after the IP addresses have been verified.
- Ensure all user declarations are completed.
Monitoring and Compliance
The Commission will actively monitor utilisation of VIRRGIN Lite throughout the Approved Period of Access.
The Commission reserves the right to suspend or revoke access at any time where security, compliance, or operational concerns arise.
Effective Date
In light of this Industry Circular, RAs are encouraged to submit applications as soon as possible to allow sufficient time for processing before the activation date of 1 December 2025.
